    These Terms & Conditions ("Terms") form a legally binding agreement between you ("User", "you", or "your"), whether personally or on behalf of an entity and Nous+ (the "Company", "we", "us", or "our") governing your access to and use of the Nous+ mobile application, website, platform, APIs, and related services (collectively, the "Services").

    By clicking on the consent, creating an account, or otherwise accessing or using the Services, you confirm that you have read, understood, and agree to be bound by these Terms and the Privacy Policy. If you do not agree, you must not use the Services.

    1. Eligibility and Authority

    You may use the Services only if you are at least 18 years of age and legally able to enter into these Terms.

    If you use the Services on behalf of another person, employer, or organization, you represent and warrant that you are authorized to bind that person or organization to these Terms.

    2. Purpose and Nature of the Services

    The Services provide AI-generated insights related to cognitive performance or wellbeing, mental wellbeing and other related indicators, for informational, self-awareness, and decision-support purposes only.

    The Services:

    • Are not a medical device
    • Do not provide medical, psychological, psychiatric, or clinical advice
    • Do not diagnose, predict, treat, cure, or prevent any disease or condition
    • Do not replace qualified professionals or professional judgment
    • Generate outputs that are indicative, probabilistic, and context-dependent

    You acknowledge that insights generated by the Services are not definitive and should not be relied upon as professional advice.

    3. Appropriate Use and Limitations

    The Services are intended to support awareness and understanding, not to function as a standalone assessment or decision-making system.

    The Services must not be used as the sole basis for decisions that produce legal, medical, employment, insurance, or other similarly significant effects on an individual.

    Users are responsible for ensuring that:

    • Human judgment is applied when interpreting outputs
    • Use of the Services is fair, proportionate, and lawful
    • Decisions are made in context and not solely on the basis of the Services

    4. User Responsibilities

    You agree to:

    • Use the Services lawfully and in accordance with these Terms
    • Provide accurate information to the best of your knowledge
    • Apply independent judgment when interpreting insights

    You must not:

    • Misuse, interfere with, or attempt to reverse engineer the Services

    By accepting these Terms and using the Services, you confirm that:

    • You understand the scope and limitations of the Services
    • You may withdraw consent as described in the Privacy Policy

    Where you provide access to the Services to others, you are responsible for ensuring that all required notices and consents have been obtained.

    6. AI-Generated Outputs

    The Services use automated and AI-based analysis to generate insights intended to support awareness and understanding. You acknowledge that outputs may vary based on context, input quality, and other factors, and may evolve over time as the Services improve. The Services do not provide professional advice or definitive assessments, and outputs should be interpreted using human judgment and relevant context. The Company does not use the Services to make automated decisions that produce legal or similarly significant effects on individuals.

    7. Third-Party Services and Technology

    The Services may incorporate or rely on third-party services, software, or technologies.

    The Company does not control and is not responsible for the availability, performance, or outputs of any third-party services. Use of the Services does not create any contractual relationship between you and any third-party provider.

    8. Intellectual Property

    All rights, title, and interest in and to the Services, including software, content, models, algorithms, trademarks, and other intellectual property, are owned by or licensed to the Company.

    You are granted a limited, non-exclusive, non-transferable, revocable right to use the Services solely for their intended purpose.

    No rights are granted except as expressly stated.

    9. Availability and Modifications

    The Company may modify, suspend, or discontinue any part of the Services at any time.

    Changes to These Terms

    The Company may update or modify these Terms from time to time at its discretion. Updated Terms will be made available through the Services or on the Company's website, and the "Last updated" date will be revised accordingly.

    To the maximum extent permitted by applicable law:

    • The Company shall not be liable for indirect, incidental, consequential, special, or punitive damages
    • The Company shall not be liable for decisions, actions, or outcomes arising from reliance on the Services

    Nothing in these Terms limits liability where such limitation is prohibited by law.

    12. Indemnification

    You agree to indemnify and hold harmless the Company from any claims, losses, damages, liabilities, or expenses arising out of:

    • Your use or misuse of the Services
    • Your violation of these Terms
    • Your failure to obtain required consents or comply with applicable laws

    You may stop using the Services at any time.

    The Company may suspend or terminate access if:

    • These Terms are violated
    • Required by law
    • Necessary to protect users, third parties, or the Company

    14. Governing Law

    These Terms are governed by the laws of the United Arab Emirates, without regard to conflict-of-law principles.

    Mandatory consumer rights under applicable law remain unaffected.
